The Registration of Companies (en)

Companies and organizations in Curacao must be registered at the Labour Section of the Ministry of Social Development, Labor and Wellfare (SOAW). Before a company submits i.e. a request for a workpermit it must be registered in the system of the Labor Sector.

All important information of companies and legal bodies are filed in the registration system. Information about the nature of the company, the owner(s) and the location is stated below. The purpose is to control data in order to implement labour laws, obtain information about companies, interested parties and to conduct the necessary study.
If the director authorizes a person unlisted on the excerpt of the Chamber of Commerce, this person must present the Labour Section with the written authorization and his valid identity card.

*** ***You are not allowed to erase information from the labor registry. If your company has undergone an amendment you must purchase a new labor registry. Of course, you must submit the necessary documents to do so. 

Legal Forms
The following legal forms must be registered. 

• A limited private company (B.V.)
• A limited liability company (N.V.)
• A partnership (V.O.F)
• A limited partnership (C.V.)
• A partnership corporation (Cooperatie onder Firma)
• Other partnerships
• A foundation
• An association with a notarial deed
• A public partnership
• A public legal body
• An association of owners
• A corporation and a mutual guarantee partnership (cooperatie en onderlinge waarborgmaatschap)
• A one- person business

Documents to be submitted

Each company or organization must submit certain documents at the registration.

(Limited Liability Companies and Private Limited Companies)

• Articles of incorporation
• An establishment permit
• An excerpt of the registration at the Chamber of Commerce (the original one with a chamber of commerce stamp and signature, not older than six months)
• An excerpt of your taxes (Crib number)
• A confirmation report from the SVB
• Nafl. 50,- Leges
• A copy of the valid sedula of the director or contact person (NO passport)
• The official home address of the director or contact person
• The wages/income/fee of the director or contact person
• The highest college diploma and the period in which you have completed your studies
• The company’s email address
• The company’s telephone number
• If the company has employers the name and sedula number of the employers

A one person business

If the owner has Dutch citizenship:

• An excerpt of the registration at the Chamber of Commerce (the original one with a chamber of commerce stamp and signature, not older than six months)
• An excerpt of your taxes (Crib number)
• A confirmation report from the SVB
• Nafl. 50,- Leges
• A copy of the valid sedula of the director or contact person (NO passport)
• The official home address of the director or contact person
• The wages/income/fee of the director or contact person
• The highest college diploma and the period in which you have completed your studies
• The company’s email address
• The company’s telephone number
• If the company has employers the name and sedula number of the employers

If the owner is a foreigner but has Dutch citizenship he must have:

• An establishment permit from the Ministry of Economic Development; and comply to;
• All requirements stated under A for an owner with Dutch citizenship

An association

• Articles of incorporation
